For basic conversion, try getting NHC's "Prism Video Converter." It can't do nearly as much as this, but so far, I've been pretty successful.

yeah i noticed that, but i am unable to change the extension with quicktime pro to .mov instead of .mp4

umm, it doesnt exactly have an mb target size, but if you mess with the bitrate (kbps) then it will make it smaller.
